Affiliate Program Terms and Conditions

Effective Date: October 9, 2026

These Terms and Conditions ("Terms") govern your participation in the OceanEsim Affiliate Program (the "Program") operated by OceanEsim ("we," "us," or "our"). By applying to or continuing to participate in the Program, you ("Affiliate" or "you") agree to be bound by these Terms. If you are accepting these Terms on behalf of a business, you confirm that you have authority to bind that business.

1. Definitions

1.1 "Site" means oceanesim.com and any website or page operated by us.

1.2 "Dashboard" means your affiliate account portal.

1.3 "Referral Link" means the unique tracking link assigned to you in the Dashboard.

1.4 "Coupon Code" means a discount code assigned to you by us for use in the Program.

1.5 "Brand Terms" means "OceanEsim," "Ocean eSIM," "Ocean Esim," "Ocean-eSIM," "oceanesim.com," and any misspelling, variation, abbreviation, translation, or transliteration of them.

1.6 "Qualifying Order" has the meaning given in Section 5.1.

1.7 "Commission" means the amount payable to you for a Qualifying Order.

2. Eligibility and Enrollment

2.1 You must be at least 18 years old.

2.2 All applications are reviewed by us. We may accept or reject any application at our sole discretion without giving a reason.

2.3 You must provide accurate and complete information, including your real name and contact details, and keep it up to date. You must not use aliases or any other means to hide your true identity.

2.4 Each person or business may hold only one affiliate account unless we approve otherwise in writing.

3. Permitted Promotion

3.1 You may promote OceanEsim using your Referral Link or Coupon Code through legitimate channels you own or control, including websites, blogs, social media accounts, videos, and travel communities and forums where the discussion is relevant to travel or mobile connectivity.

3.2 All promotional content must be truthful and accurate. Any claim you make about our products, including pricing, speed, coverage, validity, and device compatibility, must be based on information we publish or that you can substantiate.

3.3 You must clearly disclose your affiliate relationship with OceanEsim in all promotional content (e.g., "This post contains affiliate links"), in line with applicable laws and the rules of each platform you use.

3.4 Emails promoting OceanEsim may be sent only to recipients who have given clear consent to receive marketing messages from you, and every email must include a working unsubscribe option.

4. Prohibited Activities

The following are strictly prohibited. Commissions generated through any of them will not be paid.

4.1 Paid Search and Paid Advertising

(a) Bidding on, purchasing, or using any Brand Term as a keyword (in any match type), in ad copy, headlines, display URLs, metatags, page code, or anywhere else on Google Ads, Microsoft Ads, Apple Search Ads, or any other search engine or ad platform.

(b) Running any pay-per-click, paid social, display, or retargeting campaign that promotes OceanEsim or links to the Site, directly or through your Referral Link, without our prior written approval.

(c) Where we approve a paid campaign, you must add all Brand Terms as negative keywords in every campaign and ad group, and must follow any additional conditions set out in our approval. We may withdraw approval at any time.

4.2 Brand and Identity Misuse

(a) Using any Brand Term in a domain name, subdomain, social media username, page name, group name, or app name.

(b) Creating any website, page, or account that copies or imitates the look, feel, or design of the Site, or that could lead people to believe it is operated or endorsed by OceanEsim.

(c) Presenting yourself as OceanEsim, our staff, or an official representative.

(d) Making any promise, guarantee, or statement on our behalf, including about refunds, compatibility, or customer support, beyond what we publish on the Site.

(e) Publishing false or misleading statements that damage the reputation of OceanEsim.

4.3 Coupon, Deal, and Resale Channels

(a) Posting your Referral Link or Coupon Code on coupon websites, deal aggregators, cashback or rewards platforms, browser coupon extensions, or deal-sharing communities.

(b) Advertising discounts, promotions, or refunds other than those we provide to you through the Program.

(c) Listing, advertising, or reselling OceanEsim products on any marketplace or auction platform, including Shopee, Carousell, eBay, Amazon, or similar platforms, or purchasing our products for resale.

4.4 Incentives and Self-Referrals

(a) Offering cash, rebates, gifts, points, or any other incentive to encourage purchases through your Referral Link or Coupon Code, except with our prior written approval.

(b) Purchasing through your own Referral Link or Coupon Code, or having family, friends, or any related party do so for your benefit.

4.5 Fraudulent and Low-Quality Traffic

(a) Cookie stuffing, forced or hidden clicks, iframes, pop-ups, pop-unders, or any method that sets a tracking cookie without the visitor's knowledge and genuine click.

(b) Using bots, scripts, emulators, or any automated means to generate clicks, orders, or other activity.

(c) Spam, including unsolicited emails, messages, and off-topic or repetitive comments containing your Referral Link.

(d) Black-hat SEO techniques, including keyword stuffing, hidden text, cloaking, and doorway pages.

(e) Fear-based, deceptive, or misleading advertising.

(f) Recruiting sub-affiliates or distributing your Referral Link or Coupon Code through any third-party affiliate network.

4.6 Prohibited Content

You must not place your Referral Link or our brand assets on any website or channel that contains or promotes illegal activity, adult or sexually explicit content, violence, hate or discrimination, gambling, copyright infringement, or hacking.

5. Commissions

5.1 A "Qualifying Order" is an order that meets all of the following:

(a) the customer reached the Site through your Referral Link, and your Referral Link was the last affiliate link clicked before purchase, or the customer used your Coupon Code at checkout;

(b) the order was placed within 7 days of the customer's last click on your Referral Link (this time limit does not apply to orders placed using your Coupon Code);

(c) the order was placed by a real person and is not a duplicate, test, or automated order;

(d) we have received full payment from the customer;

(e) the order has not been cancelled, refunded, disputed, or charged back; and

(f) the order was not generated through any activity prohibited under Section 4.

5.2 Commission rates are shown in the Dashboard and may be updated from time to time. Changes apply to orders placed after the change takes effect.

5.3 Commissions are calculated on the amount actually paid by the customer, excluding taxes and any fees.

5.4 If a customer switches devices or browsers, clears cookies, or blocks tracking before purchasing, the order may not be attributed to you, and we are not liable for any resulting loss of Commission.

5.5 All tracking, attribution, and Commission calculations are determined by our tracking system. Where your own records differ, our records prevail.

5.6 If an order is refunded, partially refunded, charged back, or later found to be fraudulent or non-qualifying, the related Commission will be cancelled or reduced. If that Commission has already been paid, we may deduct it from your future payouts.

6. Payouts

6.1 Each Commission is subject to a 30-day review period from the order date. Commissions approved after review become eligible for payout.

6.2 Approved Commissions are paid monthly once your balance reaches the minimum payout threshold of USD 100. Balances below USD 100 roll over to the following month.

6.3 All payouts are made via Wise in USD. You must provide accurate Wise account or bank account details that Wise can pay to. We are not responsible for payments sent to incorrect details you provided, or for any delay caused by Wise or your bank.

6.4 You are responsible for any fees charged by Wise, your bank, or for currency conversion, and for all taxes that apply to your Commissions.

6.5 If you believe a Commission has been calculated or rejected incorrectly, you must notify us in writing within 30 days of the Commission status appearing in the Dashboard. After that period, the Commission status is final and you waive any claim regarding it.

7. Verification, Investigation, and Enforcement

7.1 We may monitor your promotional activity, including your websites, social media accounts, and advertisements, to verify compliance with these Terms.

7.2 We may ask you to provide proof of identity, payout account ownership, traffic sources, or examples of your promotional content. You must respond within 5 business days. We may suspend your account and hold Commissions until verification is complete.

7.3 If we ask you to change or remove any promotional content or advertisement, you must do so within 48 hours.

7.4 If the refund, cancellation, or chargeback rate on orders attributed to you is unusually high, or if we suspect fraud or a breach of these Terms, we may suspend your account and hold all Commissions while we investigate.

7.5 If you breach these Terms, we may, without prior notice and in addition to any other rights we have:

(a) cancel Commissions on affected orders;

(b) withhold all unpaid Commissions;

(c) recover Commissions previously paid on non-qualifying orders; and

(d) permanently terminate your account.

7.6 In cases of fraud or suspected fraud, we may share your identity and account information with payment providers, law enforcement, or any party harmed by your actions.

8. Brand Assets and Intellectual Property

8.1 We grant you a limited, revocable, non-exclusive, non-transferable licence to use the logos, banners, images, and product information we provide in the Dashboard, solely to promote OceanEsim under these Terms.

8.2 You must not modify our brand assets or create materials that could be confused with official OceanEsim materials without our prior written approval.

8.3 All rights not expressly granted to you are reserved by us. Nothing in these Terms transfers ownership of any of our trademarks, content, or other intellectual property to you.

8.4 We may use any feedback or suggestions you provide without any obligation to you.

9. Confidentiality

Any non-public information we share with you, including individual commission rates, special offers, and performance data, is confidential. You must not disclose it to any third party without our written consent.

10. Compliance with Laws

You must comply with all laws and regulations that apply to you and your promotional activities, including advertising, consumer protection, privacy, and anti-spam laws, as well as the terms and policies of every platform you use.

11. Term and Termination

11.1 These Terms take effect when we approve your application and continue until terminated.

11.2 You may terminate your participation at any time by giving us written notice.

11.3 We may suspend or terminate your participation at any time, with or without cause, by giving you notice.

11.4 If your account has not generated any Qualifying Order and has not been logged into for 6 consecutive months, we may close it. Any approved balance at or above the minimum payout threshold will be paid. Any balance below the threshold will be forfeited.

11.5 Upon termination for any reason, you must immediately stop promoting OceanEsim, remove all Referral Links and brand assets, and stop presenting yourself as an OceanEsim affiliate.

11.6 If you terminate, or we terminate without cause, approved Commissions on Qualifying Orders placed before termination will be paid under Sections 5 and 6. If we terminate due to your breach, Section 7.5 applies.

12. Changes to These Terms

12.1 We may update these Terms at any time. Changes take effect when posted in the Dashboard or on the Site, or on the date stated in an email notice to you.

12.2 Your continued participation after changes take effect means you accept the updated Terms. If you do not agree, your only remedy is to stop participating in the Program.

13. Disclaimers

13.1 The Program, the Dashboard, and all tracking tools are provided "as is." We do not guarantee that they will be uninterrupted, error-free, or always accurate.

13.2 We do not guarantee that you will earn any particular amount of Commissions, or any Commissions at all.

14. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, or business opportunity arising from the Program. Our total liability to you for all claims is limited to the Commissions paid to you in the 12 months before the claim arose.

15. Indemnity

You agree to indemnify and hold us harmless from any claims, losses, damages, and expenses (including reasonable legal fees) arising from your promotional activities, your content, your breach of these Terms, or any taxes payable in connection with your Commissions.

16. Force Majeure

Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, network or platform outages, cyberattacks, or government action. This does not affect any payment obligation.

17. General

17.1 Independent Parties. You are an independent contractor. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship. You have no authority to bind us.

17.2 Assignment. You may not transfer or assign your account or any rights under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of our business.

17.3 No Waiver. Our failure to enforce any provision does not waive our right to enforce it later.

17.4 Severability. If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in full effect.

17.5 Entire Agreement. These Terms, together with our Affiliate Privacy Policy and any written approvals we give you, form the entire agreement between you and us regarding the Program.

17.6 Language. If these Terms are translated, the English version prevails.

18. Governing Law

These Terms are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have exclusive jurisdiction over any dispute arising from these Terms or the Program.
